1. Scope of this agreement
This Enterprise Agreement (the "Agreement") supplements the Waypoint Terms of Service for Clients who have been approved for the Enterprise (invoice) billing model. Where this Agreement conflicts with the general Terms of Service, this Agreement controls for Enterprise Clients.
By checking the Enterprise Agreement acceptance box during signup, you ("Client", "you") confirm that you have read, understood, and agree to be bound by the terms below.
2. Billing model
Enterprise Clients are billed by invoice (no card on file). Apply-click activity on sponsored postings accrues during each calendar week (Monday 00:00 UTC through Sunday 23:59 UTC).
Each Friday at approximately 6 PM UTC, Waypoint sums the prior Monday-through-Sunday Apply-click spend at the per-tier rates in effect for your account and generates an invoice. Invoices are emailed to the invoice contact on your account.
Payment terms are NET 7 from the invoice date. Payment may be made by ACH, wire, or other method specified on the invoice. Invoices not paid by the due date may incur a late fee of 1.5% per month on the outstanding balance (or the maximum allowed by law, whichever is lower) and may result in suspension of sponsored placement until the balance is cleared.
3. Per-Apply-click pricing
Unless a separate written agreement provides otherwise, Enterprise Clients are charged the following per-Apply-click rates on sponsored placements:
- Core tier: $1.25 per Apply click
- Featured tier: $3.13 per Apply click
- High-Priority tier: $6.25 per Apply click
Free (non-sponsored) listings are not subject to per-click charges. Impressions, card clicks, scrolls, hovers, and Apply clicks on unsponsored roles never accrue spend.
Waypoint may revise per-click rates with at least 30 days' advance notice via email to the invoice contact and a notice in your dashboard. Rate changes apply to Apply clicks occurring on or after the effective date.
4. Weekly spend cap
As an Enterprise Client, you set a weekly sponsorship spend cap (in US dollars) from your dashboard. The cap controls the maximum amount of sponsored Apply-click spend that may accrue in a single calendar week.
When week-to-date sponsored Apply-click spend reaches the cap, Waypoint automatically pauses sponsored placement on every one of your roles for the remainder of the week. Free placement is not affected. Sponsored placement automatically resumes when the new weekly window begins on Monday at 00:00 UTC.
You may adjust the cap upward or downward at any time from your dashboard; adjustments take effect immediately and apply to the current week.
6. Termination and outstanding balances
You may terminate this Agreement at any time by emailing info@waypointrecruit.com. Termination does not waive any outstanding invoice balance or any Apply-click spend accrued through the date of termination.
Upon termination, sponsored placement on your active roles is removed and your account is converted to a closed state. Free historical postings may remain visible at Waypoint's discretion. Any unpaid invoice or accrued spend at termination is invoiced on the next normal billing Friday and is due NET 7.
Waypoint may suspend or terminate this Agreement immediately for material breach (including non-payment after notice or repeated posting of inaccurate roles), as specified in the general Terms of Service.
7. General
This Agreement, together with the Waypoint Terms of Service and Privacy Policy in effect, constitutes the entire agreement between you and Waypoint relating to your Enterprise account.
Waypoint may revise this Agreement with at least 30 days' advance notice via email to the invoice contact and a notice in your dashboard. Continued use of the Enterprise billing model after the effective date of a revision constitutes acceptance of the revised Agreement.
