Manages litigation and dispute resolution to minimize risk and protect organizational interests.
Drafts, reviews, and negotiates contracts, while overseeing corporate governance practices. Supports policy development and collaborates with external counsel, regulatory agencies, and internal stakeholders to address legal matters. Monitors changes in laws and regulations that may impact operations and ensures proactive compliance.
Offers strategic legal guidance to senior leadership, enabling informed decision-making and supporting the organizationās mission and long-term objectives. Provides strategic legal insights and guidance to senior leadership. QualificationsMinimum RequirementsEducationJuris Doctor (JD) from an accredited law school required.
5+ years of experience in corporate legal advisory roles. Expertise in contract drafting, negotiation, and litigation support. Knowledge of regulatory compliance and corporate policies.
Experience collaborating with external counsel and managing legal risks. Strong skills in employee legal training and policy development.
5 years of significant healthcare real estate transaction experience supporting a hospital or integrated health system, including drafting, reviewing, and negotiating leases (medical office buildings, outpatient clinics, and administrative space), acquisitions and dispositions, ground leases, easements, rights-of-way, and development agreements for acute care and ambulatory facilities. Demonstrated knowledge of healthcare regulatory compliance as it relates to real estate transactions, including Stark Law, Anti-Kickback Statute, fair market value and commercial reasonableness analyses, provider-based status considerations, and Medicare/Medicaid reimbursement requirements.
Experience managing healthcare real estate due diligence and closings, including title and survey review, zoning and land use analysis, environmental assessments, licensure coordination, and collaboration with outside counsel, brokers, and development partners. Knowledge of construction and facilities-related legal matters within healthcare environments, including construction contracts, AIA agreements, design and development agreements, facilities management arrangements, and risk allocation associated with delays, change orders, and healthcare building compliance.
Experience supporting strategic healthcare real estate initiatives, including portfolio management for owned and leased properties, alignment with clinical growth strategies, and legal risk mitigation for hospital campus expansions and off-campus facilities. Experience drafting, reviewing, and negotiating vendor and commercial agreements supporting hospital operations, including supply and equipment agreements, technology contracts, and support service agreements.
Experience providing legal support for hospital development projects, including the planning, opening, and early operational phases of new healthcare facilities, such as Durbin Park Hospital. Experience supporting or leading healthcare-related transactions. Licensure/CertificationRequiredActive license to practice law in at least one U.
S. jurisdiction. PreferredActive license to practice law in Florida or the ability to obtain Florida licensure.
